In common law jurisdictions, specific performance is not available where damages are an adequate remedy. Under Article 297.1 of the Commercial Law of Vietnam, specific performance remedy is available for any breach of a commercial contract. As such, under Vietnamese law, a party to a commercial may choose either to seek damage or specific performance in case of a breach of contract.
